VANCOUVER, British Columbia -- Aldebaran Resources Inc. and its majority-owned subsidiary Centauri Minerals Inc. have closed a $25 million subscription receipt financing, marking a key step in the planned spin-out of Centauri as a separate public company.
The offering consisted of subscription receipts priced at C$1.00 each. Proceeds from the financing will be held in escrow pending the completion of certain conditions related to the spin-out transaction. Once those conditions are met, the subscription receipts will automatically convert into units of Centauri Minerals.
The spin-out is designed to unlock value for shareholders by separating Centauri's asset portfolio from Aldebaran's core operations. Centauri holds a collection of mineral exploration properties that management believes are better positioned for focused development as an independent entity.
Aldebaran Resources will continue to advance its flagship copper project in Argentina, while Centauri will pursue exploration and development of its own project pipeline. The completion of this financing provides Centauri with a strong cash position to fund its initial work programs as a standalone company.
The companies noted that the transaction was oversubscribed, reflecting strong investor interest in Centauri's asset base and growth potential. All securities issued in connection with the financing are subject to a statutory hold period under applicable Canadian securities laws.
